Agreement to Terms

By accessing nimbis.com or engaging Nimbis Designs for services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or services.

Service Description

Nimbis Designs provides Zoho implementation, workflow automation, systems integration, and business consulting services. Specific deliverables, timelines, and fees are defined in individual project agreements or statements of work executed between Nimbis Designs and the client prior to project commencement.

User Obligations

By using our website or engaging our services, you agree to:

• Provide accurate, current, and complete information about your business when requested
• Use our services only for lawful business purposes
• Not attempt to gain unauthorized access to any systems or data
• Cooperate reasonably with our consultants to enable successful project delivery
• Not misrepresent your identity, business, or intended use of services

Project Agreements

All implementation and consulting engagements are governed by a separate written agreement or statement of work. These Terms of Service apply generally; project-specific agreements take precedence for matters they explicitly address.

Intellectual Property

Client data and implementations: You retain full ownership of your business data and any custom configurations, workflows, or applications developed specifically for your account under a paid engagement.

Case studies: Nimbis Designs may describe the general nature of completed projects (industry, problem solved, outcome) in marketing materials and case studies. We will obtain your written consent before using your business name or identifying details publicly.

Nimbis Designs property: Our methodologies, templates, training materials, and website content remain the intellectual property of Nimbis Designs and may not be reproduced without written permission.

Limitation of Liability

Services are provided for the specific agreed scope defined in each project agreement. To the fullest extent permitted by applicable law:

• Services are provided "as-is" within the agreed scope of work
• Nimbis Designs is not liable for consequential, incidental, indirect, or punitive damages arising from the use of or inability to use our services
• Our total liability for any claim arising from a specific engagement shall not exceed the fees paid for that engagement
• We are not liable for disruptions caused by third-party platforms, including Zoho, Cloudflare, or any integrated services

Disclaimer of Warranties

Nimbis Designs makes no warranty that services will be error-free or that any specific business outcome will result from implementation. Business results depend on many factors outside our control, including user adoption, data quality, and market conditions.

Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of Delaware, United States. Any disputes arising from these terms or our services shall be resolved in the courts of New Castle County, Delaware, or through mutually agreed-upon alternative dispute resolution.

Changes to These Terms

We may update these Terms of Service from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. We will revise the "last updated" date at the top of this page when changes are made.
